Specializing in Small Business, Commercial Law, Real Estate, Wills, Trusts, & Estate Planning

K&S attorneys can help you buy or sell a business, an ownership interest in a business, a division of a company, or other strategic M&A transactions.  Since February 2018, K&S attorneys have assisted multiple clients with both buy-side and sell-side M&A transactions representing more than $50 million of cumulative transaction value.

K&S attorneys can help you protect your loved ones with an appropriate estate plan, from establishing basic wills and trusts to more complicated planning matters.

K&S can help you set up your small business, including helping you choose the type of business entity (LLC, corporation, partnership, etc.) that works best for you.  We can then draft and file the documents needed to form your new entity and help with fictitious name filings as well as applying for necessary business licenses.  For both new and existing businesses, K&S can provide legal support for your fundraising and investment-related agreements.  In addition, K&S can assist in setting up key corporate governance infrastructure and important recurring agreements and contracts, such as:

  • confidentiality agreements

  • consulting agreements

  • purchase and sale agreements

  • employment agreements

  • service agreements

  • license agreements

  • stock option agreements

K&S attorneys have significant experience with negotiating and documenting contracts of all shapes and sizes, from small (under $1 million), medium (between $1 million and $10 million) and large (over $10 million).  And, while we don't specialize in business litigation, K&S can assist with pre-litigation analysis and planning when actual or potential business disputes arise.  We can also refer you to a number of excellent commercial litigators in California if your matter ends up in litigation.

K&S attorneys can help you buy, sell, lease, finance, or re-finance California-based real property, whether commercial or residential.
